Crowdfunding: Selling Equity, Uh Oh!

Sunday, January 13th, 2013

The first crowdfunding sites did not offer owership positions in private companies.テつ That is changing due to the Jumpstart our Business Startups Act.テつ The SEC is drafting rules for this new source of funding.テつ We will need them.

The concern, of course, is that the crowdfunding sites themselves stand to make the most money on these transactions with their hefty investment bank like commissions, instead of the (possibly misinformed) investors.テつ Moreover, what type of companyテつis most likely toテつgo to these sites for funding?テつ The ones who did not pass muster with angel investors or venture capitalists.テつ Will there be some “homeruns” for investors?テつ Undoubtedly.テつ But in my opinion, there will be many, manyテつmore strikeouts.

Tweaking an old saying, why wouldテつan investorテつjoin a club which would haveテつhim/her as a member?テつテつテつCaveat emptor.
